Main proposal

This is a proposal to change the wording of Clause 12.3.2 from:

  • 12.3.2 The maximum number of charity trustees is 14. The charity trustees may not appoint any charity trustee if as a result the number of charity trustees would exceed the maximum.

To:

  • 12.3.2 The maximum number of charity trustees is 15. The charity trustees may not appoint any charity trustee if as a result the number of charity trustees would exceed the maximum.

Knock-on effects of this change

I don't believe there would be any significant knock-on effects of this change.

As per Clause 13.1:

13.1 At every annual general meeting of the members of the CIO, one third of the charity
trustees shall retire from office. If the number of charity trustees is not a multiple of three,
then the number of trustees required to retire shall not exceed one-third of all trustees;

In a year with a full complement of 15 trustees, at most 5 would be required to stand down (1 more than the 4 currently required to stand down with a full complement of 14 trustees). Without all 15 trustee positions filled, I believe the situation would be no different to the current one.

As per Clause 19.3.1:

19.3.1 No decision shall be taken at a meeting unless a quorum is present at the time
when the decision is taken. The quorum is three charity trustees, or the number
nearest to one third of the total number of charity trustees, whichever is greater, or
such larger number as the charity trustees may decide from time to time. A charity
trustee shall not be counted in the quorum present when any decision is made
about a matter upon which he or she is not entitled to vote.

Our quorum will remain at 5 trustees.
